AMENSIS TRADE GLOBAL Ltd. - Terms and Conditions


These Terms and Conditions govern the provision of sourcing and procurement services ("Services") by AMENSIS TRADE GLOBAL Ltd. ("AMENSIS," "Amensis", "we," "our," or "us") to its buyers ("Client," "Buyer") and interactions with suppliers ("Supplier") under a clean pricing and sourcing facilitation model.


By engaging AMENSIS services, you agree to these Terms:


Scope of Services:

 Amensis acts as a sourcing facilitator between buyers and suppliers. We connect qualified buyers with vetted suppliers offering verified products at competitive, clean prices (factory or supplier direct). Amensis provides supplier vetting, product sourcing, negotiation support, documentation coordination, and shipment monitoring.


Pricing and Payment: 

Buyers are quoted direct supplier prices without hidden Amensis markups. Amensis’ service fee or commission is arranged separately with the supplier. Buyers shall be responsible for making payment for goods directly as per the agreed terms outlined in the Proforma Invoice or Sales Order. Buyers are responsible for any applicable bank charges, taxes, duties, or tariffs at destination, unless otherwise agreed in writing.


Sales Orders and Proforma Invoices: 

Sales Orders issued by Amensis serve as an acknowledgment and confirmation of buyer intent to purchase and will detail payment terms, lead times, and any relevant specifications. Proforma Invoices outline supplier pricing and form the basis for initial buyer deposits and final payment arrangements. No order will be processed or fulfilled until agreed deposits are received.


Supplier Relationship and Commission: 

Suppliers engaged through Amensis agree to compensate Amensis with a sourcing commission based on the final order value, separate from the buyer’s pricing. This arrangement ensures transparency and protects buyers from hidden costs or undisclosed markups.


Shipping and Delivery: 

Goods are shipped by suppliers under agreed Incoterms (FOB, CIF, DDP, etc.). Amensis does not take title of goods at any point unless separately contracted. Risk and ownership transfer according to agreed Incoterms between buyer and supplier and as facilitated by Amensis.  Buyers are responsible for customs clearance and duties unless otherwise stipulated. Upon delivery, Buyers are solely responsible for the receipt, clearance, inspection, quality verification, storage, and any further distribution of goods sourced through Amensis, unless separate warehousing, inspection, or distribution arrangements have been explicitly contracted in writing. Any additional services requested by the Buyer, including but not limited to inspection, clearance, storage, or distribution, shall be subject to separate agreements and may incur additional fees or service charges as specified by Amensis.


Product Liability and Disclaimers: 

Amensis does not manufacture, warehouse, or alter any goods. Responsibility for product quality, compliance, and warranty lies with the Supplier. Amensis endeavors to vet suppliers thoroughly but does not guarantee absolute product compliance unless verified by third-party inspections at the buyer’s request and cost.


Limitations of Liability: 

Amensis shall not be held liable for any indirect, incidental, or consequential damages arising from delayed shipments, defective goods, customs issues, or supplier non-performance. Our maximum aggregate liability shall not exceed any service fees earned in relation to the specific transaction in question.


Force Majeure: 

Amensis shall not be liable for any failure or delay in performance resulting from events beyond reasonable control, including but not limited to natural disasters, governmental actions, labor strikes, pandemics, or transportation disruptions.


Confidentiality: 

All commercial, technical, and operational information exchanged between Amensis, buyers, and suppliers shall be treated as confidential unless otherwise required by law.


Governing Law: 

These Terms and Conditions shall be governed by and interpreted under the laws of the Province of British Columbia, Canada.
